Terms of Service

The Service is provided by [FULL NAME], a sole trader registered in Portugal under tax number (NIF) [NIF], with a principal place of business at [ADDRESS] (“Sowl”, “we”, “us”). You can contact us at hello@sowlscouting.com.

Sowl is a software-as-a-service tool that helps football scouts manage player databases, write position-specific scouting reports and organise shortlists. The exact features available depend on your subscription plan and on the version of the Service in use at any given time. We may add, change or remove features as the product evolves.

You must be at least 18 years old and able to enter into a binding contract under the laws applicable to you to use the Service. By using the Service you confirm that you meet these requirements.

You are responsible for keeping the credentials to your account secure, for all activity that takes place under your account, and for the accuracy of the information you provide at registration and afterwards. Notify us promptly at hello@sowlscouting.com if you believe your account has been compromised.

Some features of the Service are available only with a paid subscription. Subscriptions are sold and billed by our payment partner, Freemius. The price, billing frequency, currency and any applicable taxes are presented to you before you complete checkout.

Your subscription renews automatically at the end of each billing period unless you cancel through the Freemius customer portal before the renewal date. Cancelling stops future charges but does not refund payments already taken; you continue to have access to paid features until the end of the period you have already paid for. We do not offer pro-rata refunds for partial periods.

If a payment fails, we may suspend access to paid features until the issue is resolved. If you believe you have been charged in error, contact us at hello@sowlscouting.com and we will look into it.

When using the Service, you agree not to:

• access or attempt to access parts of the Service that you have not been authorised to use;
• scrape, reverse engineer, or attempt to extract the source code of the Service;
• use the Service to store or process content that is illegal, defamatory, infringing, or in breach of any third party’s rights;
• use the Service to harass or harm any person;
• interfere with the operation of the Service, including by attempting to overload it or by introducing malicious code;
• resell, sublicense, or otherwise make the Service available to third parties without our written permission.

We may suspend or terminate accounts that breach this section, with or without prior notice.

You retain ownership of the content you create in the Service — your reports, shortlists, notes and the rest of your scout work product. You grant Sowl a limited, worldwide, non-exclusive licence to host, store, back up, process and display that content for the sole purpose of operating the Service for you.

Some of the content you create will include personal data about other people, typically players and agents. You are responsible for ensuring that you have a lawful basis under the GDPR for recording that data and that you handle it in line with applicable privacy law. You agree to indemnify Sowl against any claims arising from personal data you have entered into the Service in breach of those obligations. See our Privacy Policy for more detail.

The Service integrates with third-party providers, including Supabase (authentication and database hosting) and Freemius (subscription billing). Your use of those providers’ services as part of the Service is also subject to their own terms and privacy policies. We are not responsible for the acts or omissions of those third parties beyond our own duties as a controller of your data.

All intellectual property rights in the Service itself — including the software, design, branding and content we provide — belong to Sowl or our licensors. These Terms do not transfer any of those rights to you. You receive a limited, non-exclusive, non-transferable right to use the Service in line with these Terms for the duration of your subscription.

We work hard to keep the Service available and reliable, but we do not guarantee uninterrupted availability. We may need to perform planned maintenance and unplanned outages will occasionally happen. We do not currently offer a service level agreement (SLA). Support is provided via email at hello@sowlscouting.com on a best-effort basis during business days.

You may stop using the Service and close your account at any time by cancelling your subscription and contacting us to delete your account.

We may suspend or terminate your access if you breach these Terms, if your payment fails and remains unresolved, or if we are required to do so by law. Where possible, we will give you reasonable notice. On termination, you remain liable for any fees already owed; we will delete your data in line with the retention rules in our Privacy Policy.

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we exclude all implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be error-free or uninterrupted, or that it will produce any particular scouting outcome — including, without limitation, successful signings, transfer fees or career decisions based on its use.

To the maximum extent permitted by Portuguese law, our total aggregate liability to you for any claim arising out of or in connection with the Service or these Terms is limited to the greater of (a) the fees you have paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred euros (€100).

We will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunities, whether or not we were advised of the possibility of such losses.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Portuguese law, including liability for fraud, fraudulent misrepresentation or gross negligence.

You agree to indemnify and hold Sowl harmless from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of (a) your use of the Service in breach of these Terms, (b) personal data about third parties that you have entered into the Service in breach of applicable law, or (c) your infringement of any third party’s intellectual property or other rights.

We may update these Terms from time to time. When we make material changes we will notify you by email and update the “Last updated” date at the top of this page at least 30 days before the changes take effect. If you do not agree with the updated Terms, you can cancel your subscription before they take effect.

These Terms are governed by Portuguese law. Any dispute arising out of or in connection with the Service or these Terms will be subject to the exclusive jurisdiction of the competent courts of [JUDICIAL DISTRICT — e.g., Lisbon], without prejudice to any mandatory consumer-protection rights you may have under the law of your country of residence.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision is not a waiver of that right. These Terms (together with our Privacy Policy and any plan-specific terms) constitute the entire agreement between you and Sowl regarding the Service.
